Brief Summary
A corporation's right to confidentiality is increasingly tested not only by statutory mandatory disclosure obligations but also by the threat of in-house counsel whistleblower claims. Whether, or to what extent, these developments may "chill" relations between in-house counsel and their clients or may open the floodgates to countless numbers of such claims remains to be seen. If nothing else, corporate clients and their in-house and outside counsel may want to establish potential claims handling procedures so as to minimize the risk that such a claim will be filed.
